These Terms of Service (“Terms”) govern your access to and use of our website https://quadacts.com, our software development services, and any related communication channels (collectively referred to as “Services”).
By using our Services, you agree to these Terms. Please read them carefully.

1. About QuadActs

QuadActs provides professional software development and IT outsourcing solutions, including:

• Dedicated Developer services

• Offshore Managed Team Solutions

• Fixed-Price Project Management

All developers and teams are QuadActs employees — we do not subcontract or use freelancers.

2. Service Engagement

You may engage QuadActs for one or more of our service models.
Each engagement is governed by an individual contract or agreement defining:

• Scope of work

• Timelines and deliverables

• Pricing and payment terms

• Confidentiality and data handling

These contracts take precedence over any conflicting terms stated here.

3. Payments

All payments are due according to the terms specified in your individual contract or invoice.

• For Dedicated Developers or Teams, billing is usually monthly, with agreed working hours per week.

• For Fixed-Price Projects, payments may be milestone-based or in full upon delivery.
  Failure to make payments on time may result in suspension or termination of Services.

4. Confidentiality

Both QuadActs and the Client agree to maintain the confidentiality of all non-public information shared during the project.
All developers assigned to your project are bound by internal confidentiality and data security agreements.

5. Intellectual Property

Unless otherwise stated in a separate contract:

• All deliverables, code, and materials developed under a paid engagement become the property of the Client upon full payment.

• QuadActs retains the right to reuse non-client-specific tools, libraries, and frameworks developed prior to or independently of the project.

6. Developer Availability and Replacement

QuadActs guarantees:

• Dedicated developer(s) assigned exclusively to your project during the engagement.

• Rapid replacement in case of unavailability, with a 1-month release notice where applicable.

We also provide developer tracking tools, progress reports, and performance reviews by senior engineers.

7. Limitation of Liability

While QuadActs strives to deliver high-quality results, we are not liable for:

• Indirect, incidental, or consequential damages

• Business losses resulting from project delays, third-party dependencies, or client-side errors

Our total liability under any agreement shall not exceed the amount paid by the Client for the Services in question.

8. Termination

Either party may terminate an engagement by providing written notice in accordance with the contract terms.
Upon termination:

• Work completed up to the termination date must be paid in full.

• All deliverables produced and paid for will be transferred to the Client.

9. Data Protection and Privacy

QuadActs complies with applicable data protection laws.
We process client data only as required to deliver agreed services and in accordance with our Privacy Policy.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

For clients contracting with our Pakistan office, local agreements may additionally be governed by the laws of Pakistan, as specified in the respective service contract.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Delaware, USA, or, where applicable, the courts of Pakistan.
